FindAgent.io Terms of Use

These Terms of Use ("Terms") govern your access to and use of FindAgent.io (the "Site") and related services operated by RE Marketplace Inc. ("RE Marketplace," "we," "us," or "our"), including but not limited to website content, dashboards, agent profile pages, rating systems, calculators, search and agent finders, blogs, news, podcasts, digital business card pages, messaging tools, and subscription features (collectively, the "Services").

1. Acceptance of Terms

By accessing or using the Services, creating an account, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Site or its Services.

If you use the Site or Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Nature of the Platform

FindAgent.io is a technology platform that helps real estate buyers and sellers discover and connect with independently licensed real estate professionals ("Agents").

RE Marketplace is not a licensed real estate broker in any jurisdiction and does not provide real estate brokerage, appraisal, legal, or financial advisory services. All real estate services are provided solely by independent Agents who are responsible for their own licensing, supervision, disclosures, and compliance with applicable laws and broker agreements.

We do not guarantee the accuracy of Agent profiles, the outcome of any transaction, or the suitability of any Agent for your needs.

3. Eligibility and Accounts

• You must be at least 18 years old and able to form a binding contract to use the Services.
• You must provide accurate, current, and complete registration information and keep it updated.
• You are responsible for safeguarding your password and all activity under your account.
• Notify us promptly at support@findagent.io of any unauthorized use.

We may refuse, suspend, or terminate accounts at our discretion, including for violations of these Terms or applicable law.

4. Services Overview

4.1 FindAgent.io offers:

• Access to agent profiles and services
• AI-powered agent matching tools
• Lead generation tools for agents
• Service offerings including market analysis, valuation, and other agent-provided services

The information presented (including agent bios, ratings, or credentials) is provided by agents or derived from public or user-generated data. We do not verify or guarantee its accuracy.

4.2 Platform features

The Services may include, among other things:

• Agent search and geospatial matching tools;
• Public agent profile microsites;
• Secure in-platform messaging;
• Address validation and geocoding;
• Analytics and event tracking;
• Digital business cards with QR codes and contact capture (subscription tier dependent);
• Email and SMS notifications.

Features may change over time. We may add, modify, or discontinue features with or without notice.

5. Agent Subscriptions, Billing, and Trials

This Section applies to Agent subscription plans processed through Stripe, Inc. ("Stripe").

5.1 Plans

We offer subscription plans as described on our Pricing page. Plan features, prices, and promotions may change; the price shown at checkout applies to your initial purchase unless otherwise stated.

5.2 Free trial

Certain plans may include a free trial (e.g., 30 days). Unless you cancel before the trial ends, your payment method will be charged automatically when the trial converts to a paid subscription at the then-current rate. We may send reminder emails before trial expiration.

5.3 Automatic renewal

Subscriptions renew automatically at the end of each billing period (monthly or yearly) until canceled. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis.

5.4 Payment and taxes

You agree to pay all fees, applicable sales or use taxes, and charges associated with your subscription. Taxes may be calculated and collected through Stripe. You must provide valid payment information and keep it current.

Payment card data is processed by Stripe in accordance with the Stripe Services Agreement and Stripe Privacy Policy. We do not store full payment card numbers on our servers.

5.5 Cancellation

You may cancel your subscription through the Stripe Customer Portal or account subscription settings where available. Cancellation stops future renewals; you typically retain access to paid features until the end of the current billing period unless otherwise stated.

5.6 Refunds

Except where required by law, payments are non-refundable, including partial billing periods and unused subscription time. Promotional discounts or coupons are subject to their stated terms.

5.7 Failed payments and suspension

If payment fails, we may suspend or downgrade access to subscription-gated features until payment is resolved. Repeated failures may result in account suspension or termination.

5.8 Price changes

We may change subscription prices effective on your next renewal after reasonable notice (e.g., email or in-app notice).

6. Fees, Referrals, and Promotional Placement

• Agents pay subscription fees for access to certain premium tools and visibility features.
• Listing, ranking, or featuring an Agent does not constitute an endorsement by RE Marketplace. Visibility may be influenced by subscription status, profile completeness, geography, algorithmic relevance, or promotional programs.
• As disclosed on the Site, when users connect with Agents or affiliated service providers (such as lenders, escrow officers, or title companies) through the platform, we may receive referral fees or other compensation. Such compensation does not determine core matching rankings but must be disclosed where required by law.

Users should confirm all fees directly with Agents and service providers.

7. Agent Responsibilities

Agents agree to:

• Maintain a valid real estate license where required and comply with all applicable laws, advertising rules, and broker supervision requirements;
• Ensure profile content (including licenses, credentials, photos, pricing, and service descriptions) is truthful, current, and not misleading;
• Disclose material facts and fee structures to clients as required by law;
• Respond to leads and messages professionally and in compliance with applicable regulations (including TCPA and CAN-SPAM where relevant);
• Obtain all rights necessary for content uploaded to the Services;
• Use subscription-gated features only while their subscription is active and in good standing.

Agents are solely responsible for their brokerage relationships and transactions with clients.

8. Buyer and Seller Responsibilities

Buyers and sellers agree to:

• Provide accurate information in opportunities and communications;
• Conduct independent due diligence, including verifying Agent license status through official state databases;
• Understand that Agent performance and fit vary; RE Marketplace does not endorse any Agent;
• Use the Services lawfully and respectfully.

9. User Content and License

9.1 Your content

You may submit content to the Services, including profile information, photos, messages, business model descriptions, and digital business card materials ("User Content").

You retain ownership of your User Content. By submitting User Content, you grant RE Marketplace a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, adapt, and promote User Content as necessary to operate, market, and improve the Services, including indexing for search engines and AI discovery tools, and as described in our Privacy Policy.

9.2 Prohibited content and conduct

You must not:

• Violate any law or third-party rights;
• Post false, deceptive, or defamatory content;
• Impersonate any person or misrepresent license status or affiliation;
• Harass, threaten, or spam other users;
• Upload malware or attempt to disrupt the Services;
• Scrape, crawl, or reverse engineer the Services except as permitted by law;
• Use the Services to send unsolicited marketing in violation of applicable law.

We may remove content or suspend accounts that violate these rules, but we are not obligated to monitor all User Content.

9.3 Copyright complaints

If you believe content on the Services infringes your copyright, contact support@findagent.io with a description of the work, the infringing material, and your contact information. We may remove content in appropriate circumstances under applicable law (including the DMCA).

10. Messaging and Communications

The Services may enable direct messaging between users, email notifications, and SMS text messages.

• Opt-In & Consent: By providing your phone number and completing registration, you consent to receive transactional SMS notifications and One-Time Passcodes (OTP) via automated text for account verification and security purposes. To receive marketing or promotional text messages, you must explicitly opt in (e.g., checking a dedicated box). Consent to receive marketing texts is not required as a condition of purchasing any goods or services.
• Message Frequency & Rates: Message frequency varies based on your account activity and communication preferences. Standard message and data rates may apply.
• Opt-Out & Support: You can cancel the SMS service at any time by replying STOP to any text message. After sending STOP, you will receive a single confirmation message, and no further messages will be sent unless you re-subscribe. For assistance, reply HELP or contact customer support at support@findagent.io.
• Carrier Liability: Wireless carriers are not liable for delayed or undelivered messages.
• Privacy: Text messaging originator data and consent will not be shared, sold, or rented to any third parties or affiliates for marketing or promotional purposes.

12. Third-Party Services and OAuth

The Services integrate with third parties (including Stripe, Google, Facebook, email/SMS providers, and geocoding services). Your use of third-party sign-in or payment features is also subject to those providers' terms and privacy policies.

We are not responsible for third-party services or websites linked from the Services.

13. Privacy

Our collection and use of personal information is described in our Privacy Policy, incorporated into these Terms by reference.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that search results or matches will meet your expectations.

Information on Agent profiles may be provided by Agents or derived from public or user-generated sources. We do not independently verify all profile information.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RE MARKETPLACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR INTERACTIONS WITH AGENTS—EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless RE Marketplace and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Site or the Services;
• Your User Content;
• Your violation of these Terms or applicable law; or
• Your interactions with other users or third parties.

17. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms, non-payment, fraud, or legal requirements.

You may stop using the Services at any time. Sections that by their nature should survive termination (including payment obligations accrued, disclaimers, limitation of liability, indemnification, and governing law) will survive.

18. Governing Law and Disputes

This agreement is governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or your use of the Site or Services shall be resolved in the state or federal courts located in Laramie County, Wyoming, and you hereby consent to the exclusive jurisdiction and venue of such courts.

We may revise these Terms from time to time. Material changes will be posted on the Site with an updated effective date, and we may notify registered users by email or in-app notice. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services and cancel any subscription. Continued use after such changes constitutes acceptance.

21. Miscellaneous

• Entire agreement: These Terms and the Privacy Policy constitute the entire agreement regarding the Services.
• Severability: If any provision is unenforceable, the remainder remains in effect.
• No waiver: Failure to enforce a provision is not a waiver.
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
